Welcome to AllTheStreet (the “Service”). These Terms of Service (the “Terms”) govern your access to and use of the Service operated by AllTheStreet INC (“AllTheStreet,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility

You must be at least 14 years of age to use the Service. If you are under the age of majority in your jurisdiction, you represent that you have obtained consent from a parent or legal guardian. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.

2. Description of the Service

AllTheStreet provides a content and location-based platform that aggregates, connects, and recommends place-related information, user-generated content, and related services, including information about places that appear in videos (such as when a place appears, its category, events, and booking links), available through our websites, applications, and integrations with third-party AI assistants.

Information provided through the Service is for general informational purposes only. Place details, event periods, and product availability and prices may change and may be inaccurate or out of date, so please confirm them with the business or partner before relying on them. Videos are provided by third-party platforms such as YouTube and are subject to those platforms' terms.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3. User Accounts

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not responsible for any loss or damage resulting from unauthorized access to your account.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose;
Violate any applicable laws or regulations;
Infringe upon the intellectual property or other rights of others;
Upload or transmit harmful, abusive, defamatory, obscene, or misleading content;
Access the Service, including our APIs and AI assistant integrations, by automated means to extract data in bulk or send an unreasonable volume of requests;
Interfere with or disrupt the operation of the Service.

We reserve the right to suspend or terminate your access if you violate these Terms.

5. User Content

You retain ownership of any content you submit, upload, or post through the Service (“User Content”).

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, display, and distribute such content in connection with operating and improving the Service.

You represent and warrant that you have all rights necessary to grant this license.

6. Intellectual Property

All content, software, and materials provided through the Service (excluding User Content) are owned by or licensed to AllTheStreet and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Third-Party Services

The Service may contain links to or integrations with third-party services. We do not control and are not responsible for third-party content, policies, or practices.

Some links in the Service, including booking links shown on our websites and in AI assistant integrations, are affiliate or partner links, and we may receive a commission when you make a purchase through them. Purchases are completed on the partner's website and are governed by the partner's terms, prices, and policies.

Your use of third-party services is subject to their respective terms and policies.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable laws.

Upon termination, your right to use the Service will immediately cease.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLTHESTREET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU (IF ANY) FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless AllTheStreet, its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms shall be submitted to the Seoul Central District Court in the Republic of Korea as the court of first instance. This does not affect any mandatory rights you may have under the consumer protection laws of your country of residence, including the right to bring proceedings in the courts of that country.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
